Summary

These Terms of Service (ToS) govern your use of BenOsphere’s AI‑powered benefits concierge App (“App”) within Slack and Microsoft Teams workspaces. BenOsphere Inc (referred to as “Company,” “we,” “us,” or “our”) provides this App subject to these ToS, which define key terms, grant you a limited license to use the App, set out account and access rules, outline user obligations (including acceptable use), describe data ownership and privacy controls, cover third‑party integration rules, and address intellectual property and confidentiality. They also include detailed legal provisions—disclaimers; limitation of liability; professional‑advice exclusions; generative AI feature rules; indemnification; third‑party resource disclaimers; termination and suspension rights; modification processes; and general terms on governing law, assignment, force majeure, notices, waiver, relationship, severability, and entire‑agreement clauses. 1. Acceptance of Terms

By clicking “Accept,” installing, or otherwise using the App, you agree to be bound by these ToS and our Acceptable Use Policy. If you do not agree to these terms, you must not install or use the App. Continued use after material changes constitutes acceptance of the revised terms.

2. Definitions

Capitalized terms not defined elsewhere have the following meanings:

  • “Administrator”: The subscribing organization (e.g., broker or employer) that installs the App.
  • “Workspace”: The Slack or Teams instance where the App is installed.
  • “Customer Data”: Any data, content, files, or communications you submit to the App; such data remains owned by the Administrator.
  • “Subscription Term”: The period during which an Administrator and its Users are authorized to access and use the App.
  • “Feedback”: Ideas, suggestions, or proposals you submit relating to the App; BenOsphere may use them without obligation.
  • “Order Form”: A document or agreement specifying the details of the subscription, including any applicable fees, signed by the Administrator.
3. Services
3.1 License Grant

Subject to these ToS and any applicable Order Form, BenOsphere grants Administrators a limited, non-exclusive, non-transferable license to install and use the App during the Subscription Term within authorized Workspaces. BenOsphere retains all rights, title, and interest in and to the App, including all intellectual property rights. Upon the end or termination of the Subscription Term, this license automatically terminates.

3.2 Description of Service

BenOsphere provides an AI-driven benefits concierge that lives within Slack and Teams, helping employees understand and maximize their benefits year-round. The App uses artificial intelligence to provide personalized benefits information and recommendations based on user inputs.

3.3 Support

For assistance, contact support@benosphere.com. Support is available during business hours (Monday to Friday, 9 AM to 5 PM PST). Additional contact methods may include in-App chat, subject to availability. We aim to respond within 24 business hours but may prioritize based on issue severity.

3.4 Changes to the App

We may modify, add, or remove features at our discretion. We will use commercially reasonable efforts to notify Administrators of material changes via email or through the App at least 30 days before such changes take effect. However, in the event of security vulnerabilities, data breaches, or other urgent threats to the integrity or safety of the App or its users, we may implement changes immediately with little or no notice.

4. User Registration & Account
4.1 Account Creation and Management

Users must register with accurate information (name, email, employer) to create an account. You are responsible for maintaining the accuracy of your account information. Providing inaccurate or false information may result in suspension or termination of your account.

4.2 Account Security

You are responsible for safeguarding your credentials and all activities under your account. Do not share your credentials with others. Notify us immediately of any unauthorized use.breach

4.3 Account Restrictions

Each User may have only one account; Administrators’ and Users’ accounts may not be shared or transferred. Violations of this rule may result in suspension or termination of your account.

5. Acceptable Use

You agree to comply with our Acceptable Use Policy and any workspace-specific rules. You may not:

  • Interfere with or disrupt the App or any connected networks.
  • Reverse-engineer, copy, or modify the App except as expressly permitted.
  • Transmit unlawful, harassing, defamatory, obscene, fake, or otherwise objectionable content.
  • Distribute viruses, malware, or any harmful code.
  • “Data mine” or scrape the App’s content.
  • Breach security measures of the App or Workspace.

You are solely responsible for your conduct and any content you submit through the App.

6. Subscription & Fees

The App is provided to Users at no additional cost. Any fees are billed to the Administrator under a separate subscription agreement or Order Form. BenOsphere reserves the right to introduce fees for certain features or services in the future, with 30 days’ prior notice to Administrators.

7. Data Security & Confidentiality
7.1 Data Security

We employ industry-standard encryption, access controls, and audits to protect Customer Data. In the event of a breach, we will notify affected parties within 72 hours of becoming aware of the incident. Customer Data may be processed by third-party AI services; we ensure such services adhere to strict data protection standards. For more details, see our Privacy Policy.

7.2 Confidential Information

Each party’s non-public information disclosed during the Subscription Term is confidential. Recipients may use it only to perform their obligations and must protect it with at least reasonable care.

8. Feedback

Your submission of Feedback is voluntary. You grant BenOsphere a perpetual, irrevocable, worldwide, royalty-free license to use and sublicense that Feedback for any purpose. Feedback may be used publicly or privately, and we are not obligated to keep it confidential unless otherwise agreed in writing. However, no personally identifiable information (PII) or identifiable user details will be made public.

9. Personal Information & Privacy

Our Privacy Policy explains how we collect, use, and share personal data, including with third-party AI providers where applicable. In summary, we collect personal data such as name, email, and benefits-related information to provide and improve the App. We may share this data with trusted service providers, including AI platforms, to deliver functionality. 10. Disclaimers; Limitation of Liability
10.1 Warranty Disclaimer

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

10.2 No Medical or Professional Advice

The information provided by the App is for informational purposes only and is not intended to be a substitute for medical, legal, financial, or other professional advice. Users should consult a qualified professional for advice tailored to their circumstances.

10.3 Indirect Damages Exclusion

IN NO EVENT WILL BENOSPHERE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

10.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BENOSPHERE’S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY THE ADMINISTRATOR IN THE PRECEDING 12 MONTHS.

10.5 Beta Features Without Warranty

BETA FEATURES ARE PROVIDED “AS IS,” WITHOUT WARRANTY, AND MAY BE MODIFIED OR DISCONTINUED AT ANY TIME.

11. Generative AI Features

We may offer AI-powered features that process your input to generate responses (“AI Services”).

11.2 Input and Output

You own all data you submit (“Input”) and any generated content (“Output”), subject to these ToS. By using AI Services, you grant BenOsphere a limited license to use your Input and Output to provide, maintain, and improve the App.

11.3 Content Filtering

Our AI adheres to content filters to block unsafe or inappropriate content, in line with third-party provider policies.

11.4 AI Disclaimer

AI output may be inaccurate or unexpected. You are responsible for verifying AI-generated information. We implement measures to improve accuracy, such as regular model updates, but cannot guarantee correctness. AI output is provided for informational purposes only and should not be relied upon as professional advice.

12. Indemnification

You agree to defend and indemnify BenOsphere and its affiliates against any claims, damages, or expenses (including attorneys' fees) arising from your use of the App, violation of these ToS, or infringement of third-party rights. This applies to claims related to your content or conduct, with indemnification limited to reasonable costs and damages directly attributable to your actions.

13. Third-Party Resources

The App may link to third-party websites or services. We are not responsible for their content or policies. Users may integrate third-party services with the App only if permitted by the applicable third-party terms and our Acceptable Use Policy.

14. Termination & Suspension
14.1 Subscription Term

The Subscription Term begins on installation and continues until terminated per these ToS.

14.2 Termination for Cause

Either party may terminate immediately upon material breach or insolvency of the other.

14.3 Termination for Convenience

Administrators may cancel at any time per their subscription settings; Users’ access ceases upon termination.

14.4 Suspension of Users

We may suspend or terminate a User’s account for violations or to protect systems, with or without notice.

14.5 Surviving Obligations

Provisions that by nature survive termination (e.g., confidentiality, IP, disclaimers) remain in effect. Upon termination, Customer Data will be deleted within 30 days unless legally required to be retained; Administrators may request data export prior to deletion.

15. Modifications to the Terms

We may revise these ToS at any time. Material changes will be communicated via email or through the App at least 30 days before taking effect, unless required by law or for security reasons. Continued use constitutes acceptance.

16. General Terms
16.1 Governing Law; Jurisdiction

These ToS are governed by Washington state law, without regard to conflict-of-law principles.

16.2 Binding Arbitration

Disputes will be resolved by binding arbitration under AAA rules, except small claims you may bring in your local court. You may opt out of arbitration by sending written notice to us within 30 days of first agreeing to these Terms. This notice must include your full name, the email address associated with your account, and a clear statement that you wish to opt out of arbitration.

16.3 Assignment

You may not assign these ToS without our prior written consent; we may assign without notice.

16.4 Force Majeure

Neither party is liable for delays due to events beyond reasonable control (e.g., natural disasters, internet outages).

16.5 Notice

Notices must be in writing and delivered by email to the addresses on record; effective upon receipt.

16.6 Waiver

Failure to enforce any right is not a waiver.

16.7 Severability

If any provision is found invalid, the remaining provisions will remain in effect.

16.8 Relationship of the Parties

The parties are independent contractors; no partnership or agency is created.

16.9 Entire Agreement

These ToS, the Acceptable Use Policy, and the Privacy Policy constitute the entire agreement regarding your use of the App.

17. Geographic and Export Restrictions

The App is intended for use only by individuals and organizations located in the United States. By using the App, you represent that you are located in the U.S. and not subject to any U.S. government embargo or restrictions. Access to the App from jurisdictions outside the United States is prohibited, and we make no representations that the App is appropriate or available for use in other locations.

Platform Integration Note: Your use of the App within Slack and Teams is also subject to Slack’s User Terms of Service and Microsoft’s Services Agreement. In case of conflicts, these ToS govern your use of the App, while Slack’s and Microsoft’s terms govern their platforms.
